These Terms of Service (“Terms”) are an agreement between you and Korte Live LLC, [ADDRESS] (“Korte”, “we”, “us” or “our”). They cover your use of the website at kortelive.com and its subdomains (the “Site”), your Korte account, your purchase of any Korte plan, pass or subscription, and any related support or services (together, the “Services”).
The Korte desktop application and the Korte plugin for OBS Studio (the “Software”) are licensed under the Korte End User License Agreement (the “License Agreement”), which you accept when you install the Software and which is also published at kortelive.com/license. These Terms and the License Agreement work together: the License Agreement governs how you may install and use the Software, and these Terms govern everything else, including your purchase. If they conflict on how the Software may be used, the License Agreement controls.
PLEASE READ SECTION 15 CAREFULLY. IF YOU ARE IN THE UNITED STATES, IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS, UNLESS YOU OPT OUT WITHIN 30 DAYS.
By using the Services, creating an account, starting a trial or making a purchase, you agree to these Terms. If you do not agree, do not use the Services.
1. Who can use Korte
You must be at least 18 years old and able to form a binding contract to create an account or make a purchase. If you accept these Terms on behalf of a company, venue, band or other organization, you confirm that you have the authority to bind it, and “you” includes that organization.
You may not use the Services if you are barred from doing so under the laws of the United States or the place where you live, including export control and sanctions laws (see Section 13).
2. Your account
Some Services require an account. You agree to give accurate information, keep it up to date and keep your sign-in details secure. You are responsible for everything that happens under your account. Tell us promptly at support@kortelive.com if you think someone has used your account without permission.
3. Plans, passes and trials
3.1 What you get
Each plan or pass gives you access to the Software and the features, number of cameras and number of computers described on the Site at the time you buy (for example, how many computers you may install Korte on and how many may stream at the same time). The current details are on kortelive.com/pricing. If a plan description on the Site and these Terms disagree about what a plan includes, the plan description you accepted at checkout controls.
Korte is for directing your own shows, including shows you monetize. Korte Pro adds use on behalf of others: directing shows you produce for clients, venues, artists or audiences other than your own act, and other uses described as “commercial use” on the Site.
A Gig pass gives you the features stated on the Site for one computer for 48 hours, starting when you first activate it. Passes are single-use and cannot be paused.
Korte Lite is a free version. When it is available, it is provided under these Terms and the License Agreement, without charge and without any service commitment.
3.2 Free trials
When a free trial is offered, it lasts for the period stated at sign-up (currently 30 days) and requires a valid payment method. Unless you cancel before the trial ends, your paid subscription starts automatically when the trial ends, and your payment method will be charged the price shown at sign-up. We will email you a reminder before your trial ends. You can cancel at any time during the trial at no charge (see Section 5). Each customer can receive one free trial. We may end or change trial offers for new customers at any time.
3.3 Introductory prices and launch offers
Some plans include introductory pricing (for example, a number of months at a reduced price after a free trial) or launch offers (for example, Founding or Early pricing). The terms of each offer are stated on the Site and at checkout and form part of these Terms. Unless an offer says otherwise:
• Only one offer applies per customer and per subscription, and offers cannot be combined.
• A discount described as “for life” lasts for as long as your subscription stays active without interruption on the same plan and billing period. If your subscription ends, lapses for non-payment or moves to a different plan, the discount ends and cannot be restored.
• Offers have no cash value and cannot be transferred.
We may refuse or cancel an offer that was obtained by mistake, through multiple accounts or in breach of these Terms.
4. Payment
4.1 Paddle is our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payment and handles returns. When you buy, you also agree to Paddle’s Buyer Terms (paddle.com/legal/checkout-buyer-terms). Paddle processes your payment details; we never see or store your full card number.
4.2 Prices and taxes
Prices are shown on the Site in US dollars unless stated otherwise. Paddle adds sales tax, VAT or similar taxes where the law requires; the total you will pay is shown before you confirm your purchase. Prices exclude any fees your bank or card issuer may charge.
4.3 Subscriptions renew automatically
Monthly and yearly subscriptions renew automatically at the end of each billing period, for a period of the same length, at the then-current price for your plan (including any discount that still applies), until you cancel. Paddle will charge your payment method at the start of each new period. For yearly subscriptions, we will email you a reminder between 15 and 45 days before each renewal, with the renewal date, the amount and how to cancel.
4.4 Price changes
We may change subscription prices. If we raise the price of your subscription, we will tell you by email at least 30 days before the new price applies, and it will apply only from your next renewal after that notice. If you do not want to pay the new price, you can cancel before that renewal. Price changes do not affect a “for life” launch discount while it still applies.
4.5 Changing plans
You can change your plan or billing period from your account page. Upgrades (for example from Korte to Korte Pro, or from monthly to yearly) take effect right away: you are charged the difference for the rest of your current billing period, calculated by Paddle, and your new period and price apply from then on. Downgrades take effect at your next renewal, and you keep your current plan until then. Changing plans may end a launch offer that applies only to your current plan.
4.6 Failed payments
If a payment fails, Paddle may retry it and we may suspend paid features until it succeeds. If payment is not received within a reasonable time, your subscription may be canceled.
5. Canceling
You can cancel your subscription or trial at any time, online, from your account page or through the link in any receipt or subscription email from Paddle, with no need to contact us. You can also email billing@kortelive.com and we will cancel it for you.
When you cancel:
• During a free trial: nothing is charged, and access ends when the trial ends.
• During a paid period: your subscription will not renew, and you keep access until the end of the period you have already paid for.
Canceling does not by itself refund a payment already made. Refunds are covered by our Refund Policy (Section 6).
6. Refunds
If you are not happy with a purchase, you can ask for a full refund within 14 days of any payment (a first payment, a renewal or a Gig pass), for any reason, as set out in our Refund Policy at kortelive.com/refunds, which forms part of these Terms. If you are a consumer in the European Union, the United Kingdom or another country that gives you a legal right to cancel or a statutory warranty, that right is in addition to our Refund Policy and is not limited by it.
7. Using the Services
You agree to use the Services only lawfully and in line with these Terms and the License Agreement. In particular, you must not:
(a) copy, share, resell or give access to the Software, your account or your plan in a way your plan does not allow, including using it on more computers than your plan allows;
(b) reverse engineer, decompile or otherwise try to extract the Software’s code, models or decision logic, or use automated or AI tools to analyze, explain or recreate them, except where the law gives you a right that cannot be waived;
(c) bypass or interfere with any license check, usage limit or security feature;
(d) use the Services to stream, record or distribute content you do not have the right to use, or in breach of the rules of a streaming platform or venue;
(e) film or record people in breach of privacy, consent or recording laws;
(f) use the Software, or modify it, to identify people by their face or other biometric characteristics;
(g) interfere with, overload or attack the Site or our online services, or access them by automated means other than the Software itself; or
(h) use the Services for anything unlawful, harmful or fraudulent.
8. Your content
Your streams, recordings, camera pictures, sound, setlists, notes and other material you use with Korte (“Your Content”) belong to you. We claim no ownership of Your Content. The Software is designed to process camera pictures and sound on your own computer and not to send your video or sound to us. Our Privacy Notice at kortelive.com/privacy explains what limited information the Services do send.
You are solely responsible for Your Content, including:
• holding the rights or licenses for any music, video or other material you stream or record;
• getting any consent required from performers, audience members and anyone else you film or record;
• following the rules of the venues and platforms you use; and
• complying with privacy, recording and broadcasting laws where you stream.
9. Feedback
If you send us suggestions, ideas, ratings or notes about the Services (“Feedback”), you allow us to use them freely to improve and promote Korte, without payment or obligation to you, and without naming you unless you agree. Feedback does not include Your Content.
10. Our rights
The Services, the Software, the Site and their content, design and branding are owned by Korte or our licensors and are protected by intellectual property laws. “Korte”, “Korte Live”, “Korte Pro”, “Korte Lite” and the Korte logos are our trademarks. Except for the rights expressly given to you in these Terms and the License Agreement, we reserve all rights. Open-source components included with the Software remain under their own licenses, as described in the License Agreement.
11. Changes to the Services
We regularly improve Korte. We may add, change or remove features, and some changes may require an update to the Software. If we make a change that materially reduces the core features of a paid plan you have already paid for, you may cancel and we will refund the unused part of your current billing period.
We may also discontinue a plan or the Services altogether. If we do, we will give you at least 30 days’ notice where reasonably possible and refund any prepaid fees for the period after the discontinuation.
12. Suspension and termination
You may stop using the Services at any time and close your account by emailing support@kortelive.com.
We may suspend or end your access to the Services if you seriously or repeatedly breach these Terms or the License Agreement, if you fail to pay, if we are required to by law, or if your use creates a risk of harm to us, other users or third parties. Where reasonable, we will tell you first and give you a chance to fix the problem. If we end your access without cause, we will refund the unused part of any prepaid period.
Sections 7 to 10 and 13 to 18, and any other terms that by their nature should continue, survive the end of these Terms.
13. Export and sanctions
You must comply with all export control and sanctions laws that apply to the Software and the Services. You confirm that you are not located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, and that you are not listed on, or owned by anyone listed on, any US government list of restricted parties.
14. Disclaimers and limitation of liability
14.1 Disclaimer
Korte makes automatic decisions about live video. It may cut at the wrong moment, show the wrong camera or stop working, and a stream or recording may be interrupted or lost. You are responsible for monitoring your stream, keeping manual control available and keeping backups of anything important.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND THE SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SUITABLE FOR ANY PARTICULAR EVENT.
14.2 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER KORTE NOR ITS OWNERS, EMPLOYEES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, AUDIENCE, SPONSORSHIP, DATA, CONTENT OR GOODWILL, OR FOR ANY INTERRUPTED OR FAILED STREAM OR RECORDING, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY US DOLLARS (USD 50).
Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud. If you are a consumer in the European Union or the United Kingdom, we are also responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care, and the limits above apply only as far as your local law allows.
14.3 Indemnity
If you use the Services for business purposes, you will defend and hold harmless Korte from third-party claims, losses and reasonable legal costs arising from Your Content or your breach of these Terms. This Section does not apply to consumers where the law does not allow it.
15. Disputes and arbitration (United States)
This Section applies if you live in the United States. Please read it carefully: it affects how disputes are resolved.
15.1 Talk to us first
Most problems can be solved quickly. Before starting any formal claim, you agree to email hello@kortelive.com with a description of the issue and what you are asking for, and to give us 30 days to try to resolve it informally. We will do the same before starting a claim against you.
15.2 Individual arbitration
If we cannot resolve a dispute informally, you and Korte agree that any dispute, claim or controversy arising out of or relating to these Terms, the License Agreement or the Services will be resolved by binding individual arbitration, and not in court, except as stated below. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, if you are not a consumer, its Commercial Arbitration Rules) in effect at the time, before a single arbitrator. The Federal Arbitration Act governs this Section. The arbitration may take place by video, by phone, on written submissions, or in person in the county where you live. For claims within the AAA’s consumer fee schedule, we will pay the filing, administrative and arbitrator fees beyond what you would pay to file in court. The arbitrator may award any individual relief a court could award, and the arbitrator’s decision is final, except for the limited review allowed by the Federal Arbitration Act.
15.3 Exceptions
Either of us may (a) bring an individual claim in small-claims court if it qualifies, and (b) ask a court for an injunction or other order to stop infringement or misuse of intellectual property or confidential information, including a breach of Section 7(a) to 7(c). Any claim for public injunctive relief that the law does not allow to be waived or arbitrated will be decided by a court, after any individual claims have been arbitrated.
15.4 No class actions
You and Korte may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate claims of different people or award relief to anyone other than the individual party. If this paragraph is found unenforceable for a particular claim, that claim must be decided by a court, not in arbitration, and the rest of this Section still applies.
15.5 Opting out
You may opt out of this arbitration agreement by emailing hello@kortelive.com within 30 days after you first accept these Terms, with your name, the email address of your account (if any) and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.
15.6 Mass filings
If 25 or more similar demands for arbitration are filed against Korte by or with the help of the same law firm or organization within 90 days, the demands will be administered in batches of no more than 25, with one arbitrator per batch, and the parties will agree in good faith on any fee arrangements needed to keep the process fair. Each demand remains an individual arbitration.
16. Governing law and courts
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules, and by the Federal Arbitration Act for Section 15. Subject to Section 15, the state and federal courts located in the State of California have exclusive jurisdiction over any dispute, and you and Korte agree to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer living outside the United States, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will tell you by email or in the Software at least 30 days before it takes effect, unless the change is required by law or concerns a new feature, in which case it may take effect sooner. The updated Terms apply from their effective date. If you do not agree to a change, you may cancel before it takes effect and we will refund any prepaid fees for the period after that date. Continuing to use the Services after a change takes effect means you accept it. Changes to Section 15 will not apply to a dispute we already knew about before the change.
18. General
Entire agreement. These Terms, the License Agreement, the Refund Policy, the Privacy Notice and any offer terms you accepted at checkout are the whole agreement between you and Korte about the Services.
Severability. If any part of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect.
No waiver. If we do not enforce a right, that is not a waiver of it.
Assignment. You may not transfer these Terms or your account without our written consent. We may transfer these Terms in connection with a merger, acquisition, reorganization or sale of our business or assets, and we will tell you if we do.
Notices. We may send you notices by email to the address on your account or in the Software. You can send notices to us at hello@kortelive.com.
Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control.
Language. These Terms are written in English. Any translation is for convenience only.
